Terms and Conditions for THE/STUDIO Technologies

By using our platform or services (including placing orders or paying any subscription invoices), you agree to the following Terms of Service. These Terms are organized in three parts:
- Part A, General Terms, which apply to all customers;
- Part B, Customize Now Terms, which apply to transactional catalog orders; and
- Part C, Source Anything Terms, which apply to SA subscribers.
Where a customer uses both services, all applicable parts apply. In the event of a conflict between a general term and a service-specific term, the service-specific term prevails.
Part A – General Terms
The following terms apply to all customers and all services offered by THE/STUDIO Technologies.
About THE/STUDIO
THE/STUDIO Technologies (“THE/STUDIO,” “we,” “us,” or “our”) is a technology platform that connects customers with independent third-party manufacturers (“factories”). We are not a manufacturer. We manage the customer-factory relationship, provide design and sourcing support, and advocate on your behalf when issues arise, but we do not own, operate, or control the factories that produce your orders.
Intellectual Property
Your Designs
You retain full ownership of all designs, artwork, specifications, and other intellectual property (“IP”) you submit to the platform. We do not claim any ownership over your IP.
Use of Your Content
We will only use your submitted designs and specifications as necessary to deliver our services, for example, to match you with suitable factories, prepare production files, or assist in manufacturing coordination. We will not share your proprietary designs with third parties for any purpose other than service delivery without your explicit consent.
Marketing License (CN Customers)
If you place an order through Customize Now, you grant THE/STUDIO a non-exclusive, royalty-free license to use images of your finished products on our owned and organic channels, including our website, social media, and portfolio materials, for marketing and promotional purposes. This license does not extend to paid advertising without your separate consent. You may request removal of your products from our marketing materials at any time by contacting us.
This marketing license applies to CN orders only. SA subscribers retain full rights and grant no marketing license unless separately agreed in writing.Factory Relationships and Liability
The factories we work with are independent entities. While we vet our manufacturing partners and actively manage your relationship with them, we cannot guarantee their performance, production quality, or delivery timelines. Our role is to facilitate, coordinate, and advocate, not to manufacture.
THE/STUDIO is not liable for:
- Product defects, quality failures, or deviations from approved samples caused by the factory
- Delays in production or shipping caused by the factory or third-party logistics providers
- Any loss, damage, or cost arising from a factory’s failure to perform
Where issues arise, we will use reasonable efforts to work with the factory to reach a resolution on your behalf.
Limitation of Liability
To the fullest extent permitted by applicable law, THE/STUDIO’s total liability to you for any claim arising out of or in connection with these Terms or our services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to THE/STUDIO in the three (3) months preceding the claim.
In no event shall THE/STUDIO be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, business interruption, or loss of data, even if we have been advised of the possibility of such damages. This cap applies to fees paid to THE/STUDIO only. Payments made directly to factories are governed by your arrangement with the factory, subject to any applicable SA payment intermediary terms in Part C.
Warranty Disclaimer
Our platform and services are provided on an “as is” and “as available” basis, without any warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.
Force Majeure
THE/STUDIO shall not be liable for any failure or delay in performance arising from circumstances beyond our reasonable control, including but not limited to factory shutdowns, natural disasters, pandemics, government actions, port closures, logistics disruptions, or supplier failures. In such circumstances, we will notify you promptly and use reasonable efforts to minimize the impact on your order.
Account Termination
Termination by You
You may close your account at any time by contacting our support team. Closing your account does not entitle you to a refund of any fees already paid, except as expressly provided in Part B (CN Refund Policy) or Part C (SA Cancellation Policy).
Termination by THE/STUDIO
We reserve the right to suspend or terminate your account at any time with reasonable prior notice if you breach these Terms, engage in fraudulent or abusive conduct, or for any other legitimate business reason. Where an order is already in production at the time of termination, we will use reasonable efforts to fulfill that order or, where fulfillment is not possible, process a refund in accordance with the applicable refund policy before termination takes effect.
Changes to These Terms
We may update these Terms from time to time. For material changes, including changes to liability, intellectual property rights, pricing structures, or cancellation policies, we will provide advance notice by email before the changes take effect. For non-material changes (such as typographical corrections, contact detail updates, or clarifications that do not affect your rights), we may update the Terms without prior notice. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms.
Indemnification
You agree to indemnify and hold harmless THE/STUDIO, its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable law or third-party right; or (c) content or designs you submit to the platform that infringe any third-party intellectual property rights.
Governing Law, Dispute Resolution, and Arbitration
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Except as provided below, any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, with proceedings conducted in California. Each party shall bear its own costs unless the arbitrator determines otherwise.
Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in California for claims involving intellectual property rights or non-circumvention violations. Any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative action.
General Provisions
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Assignment
THE/STUDIO may assign these Terms or any rights hereunder without your consent. You may not assign your rights or obligations under these Terms without our prior written consent.
Entire Agreement
These Terms, together with any order confirmations, constitute the entire agreement between you and THE/STUDIO and supersede all prior agreements relating to the same subject matter.

Part B – Customize Now (CN) Terms
The following terms apply to all transactional product orders placed through the Customize Now catalog. These terms supplement Part A and, in the event of a conflict, prevail over Part A for CN-specific matters.
How It Works
Customize Now allows you to design and order custom products from our catalog. You select your product, submit your design, approve a mockup, and place your order. Your order is then fulfilled by an independent factory selected and managed by THE/STUDIO on your behalf.
Refund Policy
Because all CN products are custom-manufactured specifically for your order, our refund policy is stage-dependent as follows:
During the Designer Mockup Phase
If you are unsatisfied at any point before approving your mockup, you may cancel your order for a full refund, issued within 3–7 business days of your request.
During the Sample Phase
Once a physical prototype has been produced following your mockup approval, cancellation will result in a deduction of the lower of $100 USD or 20% of your total order value to cover material, mold, and production costs incurred. The remainder will be refunded.
During Full Production
Your order enters full production immediately after sample or mockup approval. At this stage, materials have been purchased and manufacturing is underway. Cancellation during this phase will result in a deduction of 60% of your total order value to cover all costs incurred. The remainder will be refunded.
After Your Order Ships
Once your order has shipped and a tracking number has been issued, refunds are not provided, as the product has been custom-manufactured for your specific order. Under exceptional circumstances, as determined by THE/STUDIO at its sole discretion, a partial refund (less manufacturing and shipping costs) may be considered. Any such claim must be submitted to our customer service team within seven (7) calendar days of delivery.
Quality Guarantee
THE/STUDIO offers a “Fashion Quality Guarantee” on all CN orders. If your order does not meet the quality standards reflected in your approved mockup or sample, you must submit a claim to your customer representative within thirty (30) calendar days of receiving your order. Claims submitted after this period will not be eligible for review. THE/STUDIO’s determination of responsibility, including whether a redo, credit, or partial refund is warranted, shall be final. This guarantee does not apply to minor variations inherent in custom manufacturing.
Restrictions
You agree not to:
- Submit designs that infringe the intellectual property rights of any third party
- Use the platform for any unlawful purpose or in violation of applicable laws
- Engage in data mining, scraping, or unauthorized extraction of platform content
- Resell or sublicense access to the platform
Promo Codes
Promotional codes are one-time offers limited to one per customer account and may not be combined with other offers or transferred. THE/STUDIO reserves the right to modify or cancel promotions at any time, with or without prior notice, and may cancel or delay orders where misuse of a promotional code is suspected.
Part C – Source Anything (SA) Terms
The following terms apply to customers who hold an active Source Anything subscription. SA gives subscribers access to extended platform features, including the ability to source custom products beyond the standard CN catalog, direct factory communication, and dedicated sourcing support. These terms supplement Part A and, in the event of a conflict, prevail over Part A for SA-specific matters.
Subscription and Billing
Agreement to Fees
By subscribing to Source Anything, you agree to pay the subscription fee for your selected tier and billing frequency (monthly, quarterly, or annual) as displayed at the time of purchase. Your subscription fee is confirmed at checkout and constitutes your agreement to these charges.
Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with the Cancellation section below. You will be charged at the start of each new billing period using the payment method on file.
Pricing Changes
THE/STUDIO may update subscription pricing at any time. We will provide at least thirty (30) days’ advance notice of any pricing changes before your next renewal date, by email to the address associated with your account. If you do not wish to continue at the new price, you may cancel your subscription before the renewal date. Continued use of the platform after a pricing change takes effect constitutes your acceptance of the new pricing.
Cancellation
How to Cancel
You may cancel your subscription at any time through either of the following methods:
- Self-serve: via the account settings section of your platform dashboard
- Written request: by sending a clear written cancellation request to our support team by email
Cancellation requests are processed promptly. We recommend retaining a copy of any written cancellation confirmation for your records.
When Cancellation Takes Effect
Cancellation takes effect at the end of your current billing period. You will retain access to your SA platform features until that date.
No Refunds on Cancellation
We do not provide prorated refunds for unused time within a billing period. Customers on annual plans who cancel mid-year are not eligible for a refund of the remaining subscription term; access continues until the end of the paid annual period.
Active Orders at Cancellation
If you have an active production order at the time your subscription ends, that order will be placed on hold and you will lose access to the SA platform features associated with that project. Your order will not be abandoned, you may reactivate your subscription at any time to resume the order and regain platform access. THE/STUDIO is not liable for any delays or costs incurred as a result of an order being placed on hold due to subscription cancellation.
Factory Relationships and Quality Claims
As an SA subscriber, you work directly with factories through the platform’s communication tools. Factories are independent third parties; THE/STUDIO manages the relationship and will advocate on your behalf, but does not guarantee factory performance, production quality, or delivery timelines.
If you have a quality concern regarding your order, you may submit a claim directly through the platform’s factory chat. THE/STUDIO will facilitate communication between you and the factory to seek a resolution. Because production payments under SA are made directly to the factory (or via our payment intermediary service, where elected), THE/STUDIO does not guarantee redos, replacements, or refunds for quality issues. The outcome of any quality claim is subject to negotiation between you and the factory, supported by THE/STUDIO’s facilitation.
Payment Intermediary Service
SA subscribers may elect to use THE/STUDIO’s optional payment intermediary service, whereby you pay THE/STUDIO the applicable factory payment amount plus a service fee, and THE/STUDIO remits that payment to the factory on your behalf. By electing this service, you acknowledge that:
- THE/STUDIO is acting solely as a payment facilitator and is not a party to the manufacturing agreement between you and the factory
- Use of this service does not alter the factory’s independent status or THE/STUDIO’s liability position as set out in Part A
- THE/STUDIO is not liable for the factory’s failure to deliver or perform, regardless of whether payment was made through this service
- In the event of a factory default, THE/STUDIO will use reasonable efforts to advocate on your behalf but does not guarantee recovery of funds paid to the factory
If you choose not to use this service, you may pay the factory directly. In either case, your primary recourse for production failures lies with the factory.
Non-Circumvention
When THE/STUDIO introduces you to a factory through the SA platform, you agree not to engage with that factory directly outside of the platform for the purpose of fulfilling orders that would otherwise be placed through THE/STUDIO, for a period of two (2) years from the date of introduction. This obligation exists to protect the integrity of the platform and preserve THE/STUDIO’s ability to advocate on your behalf.
Breach of this clause may result in:
- Immediate suspension or termination of your platform access
- Withdrawal of THE/STUDIO’s support and assistance for any current or future projects
- THE/STUDIO reserving the right to seek damages equal to the value of transactions conducted with the introduced factory outside the platform during the circumvention period
Disputes arising from alleged non-circumvention breaches may be brought in California courts notwithstanding the arbitration clause in Part A.
Privacy and Data
Your use of the SA platform is subject to THE/STUDIO’s Privacy Policy, which is available on our website and incorporated into these Terms by reference. By using the SA platform, you consent to the collection and use of your data as described in the Privacy Policy.
No Service Level Commitment
THE/STUDIO does not make any commitments regarding platform uptime, response times, or service availability for SA subscribers. We will use reasonable efforts to maintain platform availability and respond to support requests promptly, but do not guarantee any specific service level.
